These Terms & Conditions (“Terms”) govern your access to and use of the Grubi website and services (“Service”), operated by Grubi (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Who you are contracting with

You are contracting with Grubi. If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

2. Acceptance of terms

By creating an account, submitting a deal, subscribing to alerts, or otherwise using the Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

3. Acceptable use

You must not misuse the Service. Specifically, you must not:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Post fraudulent, misleading, or spam content.
  • Infringe the intellectual property or other rights of any person.
  • Interfere with or disrupt the Service, servers, or networks connected to it.
  • Attempt to gain unauthorised access to any part of the Service.
  • Scrape, crawl, or otherwise automatically collect data from the Service without permission.

4. Intellectual property

Grubi retains all ownership rights in the Service, including its software, design, branding, documentation, and content (excluding user-submitted content). You are granted a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.

5. User content

When you submit deals, venue information, reviews, or other content to the Service, you grant Grubi a limited licence to host, display, and distribute that content solely for the purpose of providing the Service. You are responsible for the accuracy and legality of anything you submit.

6. Payment and subscriptions

Certain features of the Service may require payment. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. For details on billing, tax, cancellation, and refund mechanics, please refer to Paddle’s Buyer Terms.

7. Service level

We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We strive to maintain high availability but may experience downtime for maintenance or unforeseen issues.

8. Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please notify us immediately of any unauthorised use.

9. Termination and suspension

We may suspend or terminate your access to the Service at any time, without notice, for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the Service ceases immediately.

10. Limitation of liability

To the fullest extent permitted by law, Grubi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability is limited to the total fees paid by you in the 12 months preceding the claim.

11. Governing law

These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Queensland.

12. Changes to these terms

We may update these Terms from time to time. The latest version will be posted on this page. Continued use of the Service after changes constitutes acceptance of the revised Terms.
